The Society of Mayflower Descendants in the Commonwealth of Pennsylvania Colony Bylaws, most recently approved at the Annual Meeting of April 15, 2017.
Constitution, Article V(C), Section 6 of the Society Constitution requires that the Colonies shall be subject to the Society Constitution and Bylaws: that the Society shall make or approve rules, regulations or bylaws as may be expedient for the regulation and development of the Colonies.
Section 1: The Name of the Colony shall be the ________________ Colony (Colony) of the Society of Mayflower Descendants in the Commonwealth of Pennsylvania (Society).
Section 1. The name of this Society shall be the "Society of Mayflower descendants in the Commonwealth of Pennsylvania."
Constitution: Article V(C), Section 6 of the Society Constitution requires that the colonies shall be subject to the Society Constitution and Bylaws: that the Society shall make or approve rules, regulations or bylaws as may be expedient for the regulation and development of the colonies; that the Society shall fix fees and dues for membership therein; that the Society shall allocate such dues between the Society, the colonies and the General Society of Mayflower Descendants (General Society); and that the Society shall grant local autonomy to the colonies not inconsistent with the Society Constitution and Bylaws.
Section 2: Any Colony bylaw which is found to be inconsistent with the Constitution and Bylaws of the General Society, or of the Society, shall be null and void.
Section 3: Colony operation and administration procedure shall follow Robert’s Rules of Order Newly Revised, where applicable, and where there is no conflict with these bylaws, the Constitution and Bylaws of the Society, or those of the General Society.
Section 1: The Colony’s objects are consistent with the objects stated in the Constitution of the Society.
Section 1: The Colony shall have, as a minimum, the following officers: Colony Governor, Assistant Colony Governor, Secretary and Treasurer. Other officers may be elected as needed for effective administration.
Section 2. The Colony Governor shall automatically be a voting member of the Society Board of Assistants.
Section 3. Government of the Colony shall be vested in a Board of Assistants consisting of all duly elected Colony officers, and the immediate past Colony Governor.
Section 4. Duties, powers and privileges of Colony officers and Board of Assistants correspond to descriptions set forth in the Constitution and Bylaws of the Society as applicable.
Section 5. The term of office for each Colony officer shall be set by the Colony Board of Assistants.
Section 6. Approximately sixty (60) days prior to the Annual Colony Meeting, the Colony Governor shall appoint a Nominating Committee consisting of at least three members of the Colony. The Committee shall name one nominee for each office. A list of nominees shall be mailed to Colony members at least twenty-one (21) days prior to the Annual Meeting. Nominations may also be made from the floor at the Meeting. Where there is more than one nominee for each office, election shall be by secret ballot. Officers shall assume office as soon as possible after their election.
Section 7. If the Colony Governor is unable to serve full term, the Assistant Colony Governor will assume that office. All other vacancies shall be filled through appointments made by the Colony Board of Assistants.
Fees and Dues
Section 1. Dues are billed to Colony members by the Society at the beginning of each calendar year. Fees are billed as applicable. A schedule of fees and dues appears on the Society’s Website and is promulgated in the Society’s newsletter immediately following any change. The Society will establish a rebate to the Colony for each Colony member in the Life and Regular categories having good standing in the Society and Colony on June 1.
Section 2. For purposes of the rebate, good standing means Colony members who have fully paid Society dues by June 1 of each year as determined from Society records. The Society shall pay the rebate to the Colony by July 1 of each year for all Colony members in good standing on June 1. Notwithstanding, the Society shall pay the rebate by December 31 for all dues received after June of each year. A new Colony member approved to the Society after October 1 is not required to pay Society dues for the year in which approved, and no rebate will be paid for that member in the year approved.
Section 3. A Colony member whose annual Society dues remain unpaid for a period of six (6) months after they become due and payable shall be dropped from membership in the Society at the next Society Board of Assistants meeting unless the Society Board of Assistants shall, by special resolution, extend the time for the payment of such dues.
Section 4. The Colony shall be responsible for funding all expenses approved by the Colony Board of Assistants beyond the extent of the Society rebate.
Section 5. The Colony may raise funds from time to time by any lawful method, provided such method is approved by Colony members and does not violate Colony or Society Bylaws, nor conflict with regulations which may be made by Colony members.
Section 1. Regular and special meetings of the Colony shall be held on days set by the Colony Board of Assistants. Not less than twenty-one (21) days written notice shall be given to all Colony members, stating the purpose of the meeting, and the time and place thereof. A quorum for a regular or special meeting of the Colony shall be set by the Colony Board of Assistants from time to time. If a quorum is not present, no business shall be transacted except to adjourn to a future time.
Section 2. The Annual Meeting of the Colony shall be called in the Fall of each year, not later than November. The Annual Meeting shall be for the purpose of electing and installing officers, and for reporting finances, activities and accomplishments of the year. A report of the Annual Meeting shall be sent to the Society Secretary as soon as possible after the meeting, but no later than 31 December. The report shall include Minutes of the meeting, the annual Treasurer’s Report, and an approved Budget for the ensuing year. A report of the meeting is also encouraged to be sent to the Society’s Editor for inclusion in the Society’s newsletter.
Section 3. The Board of Assistants shall meet at the call of the Colony Governor, or upon the request of three of its Board members. Notification shall be by written notice mailed by ordinary mail to the recipient’s last known address not less than seven (7) days before such meeting. If a quorum is not present, no business shall be transacted except to adjourn to a future time,
Section 1. Standing Committees and all Special Committees shall be appointed by the Colony Governor as needed to carry out Colony business. Committee duties are those commonly understood, those assigned by the Colony Governor, and those described in the Society Bylaws.
Section 1. Colony bylaws may be amended following procedures set forth in the Constitution and Bylaws of the Society.

Western Colony (Greater Pittsburgh and Greater Erie areas): All 15xxx and 16xxx with the exception of those closer in commuting time to the Susquehanna Colony.
Susquehanna Colony (Greater Harrisburg area): All 17xxx and certain 16xxx that are closer in commuting time to Harrisburg than Erie of Pittsburgh.
Greater Philadelphia Area (Not a Colony): All 18xxx and 19xxx and out of state/country members unless they have opted for membership in one of the Colonies.
Colony members moving from their Colony area may elect to remain as Colony members by notifying the Society Registrar of their desire.

Approved for adoption as Colony Bylaws by the Society Board of Assistants at a Regular Meeting on 11 March 2017 and approved at the Annual Meeting of April 15, 2017. These Bylaws supersede all previous Colony Bylaws.
